Client Intellectual Property

Work Product

Unless otherwise specified in a separate agreement, custom work products developed specifically for you become your intellectual property upon full payment, while our general methodologies and know-how remain our property.

6. Payment and Billing

Fees and Payment

Fees for our services are specified in project agreements or service contracts. Payment terms include:

• All fees are stated in US Dollars unless otherwise specified
• Payment is due according to the schedule specified in your agreement
• Late payments may incur additional charges
• All fees are non-refundable unless otherwise stated

Taxes

You are responsible for any applicable taxes, duties, and governmental charges.

7. Confidentiality

We understand that you may share confidential information with us. We commit to:

• Maintaining the confidentiality of your proprietary information
• Using confidential information solely for providing services
• Implementing appropriate security measures
• Not disclosing information to third parties without consent

Confidential information does not include information that is publicly available or becomes public through no breach of our obligations.

12. Termination

You may terminate your use of our services at any time by providing written notice.

Termination by Us

We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

Effect of Termination

Upon termination:

• Your right to use the Service will cease immediately
• We will provide you with your data in a reasonable format
• Outstanding payments become immediately due
• Confidentiality obligations survive termination

13. Governing Law

These Terms shall be interpreted and governed by the laws of the Republic of Azerbaijan, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Baku, Azerbaijan.

14. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services, the parties agree to:

• First attempt to resolve the matter through good faith negotiations
• If unsuccessful, proceed to binding arbitration under Azerbaijan arbitration rules
• Conduct arbitration proceedings in Baku, Azerbaijan

15. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. The invalid or unenforceable provision will be replaced with a valid provision that most closely matches the intent of the original provision.

17. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service and supersede all prior and contemporaneous written or oral agreements between us.

18. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Your continued use of the Service after we post any modifications to the Terms will constitute your acknowledgment of the modifications and your consent to abide by the modified Terms.
